Terms of Service

1. Definitions
For the purposes of this Agreement:
1.1 “Services” means the portfolio tracking tools, websites, applications, APIs, software, and any other features or functionalities provided by Cryptofolio.
1.2 “User,” “you,” or “your” means any individual or legal entity accessing or using the Services.
1.3 “Content” means all information, data, analytics, text, graphics, and materials provided through the Services, whether generated by us, you, or third parties.
1.4 “Read-Only API Keys” means exchange or service API credentials which permit retrieval of data but do not enable the initiation, approval, or execution of any transactions or transfers.
2. Acceptance of Agreement
2.1 By creating an account or accessing or using the Services, you represent and warrant that you have read, understood, and agree to be bound by this Agreement, including our Privacy Policy, which is incorporated by reference.
2.2 If you do not agree to these Terms, you must immediately cease all use of the Services.
3. Nature of Services
3.1 The Services are designed solely to aggregate, display, and analyze cryptocurrency portfolio data from wallets and exchanges designated by you.
3.2 The Services operate on a strictly non-custodial basis. We do not, at any time, have possession, control, or authority over your cryptocurrency or fiat assets.
3.3 All connections to third-party exchanges are made through Read-Only API Keys provided by you. Under no circumstances shall we request, store, or require private keys, seed phrases, or any credentials that could permit movement of funds.
3.4 We do not execute trades or process transactions on your behalf.
4. No Financial Advice
4.1 The Services, including all Content provided therein, are intended solely for informational and educational purposes.
4.2 We do not provide investment, financial, tax, accounting, or legal advice, and no Content should be interpreted as such.
4.3 Any reliance upon information obtained through the Services is made entirely at your own risk, and you acknowledge that past performance is not indicative of future results.
4.4 You agree to seek independent professional advice before making any investment or trading decisions.
5. Eligibility
5.1 You represent and warrant that you are:
a) at least the legal age of majority in your jurisdiction of residence;
b) capable of entering into binding legal agreements; and
c) not subject to any restriction or prohibition that would render your use of the Services unlawful.
5.2 We reserve the right, in our sole discretion, to refuse registration, suspend, or terminate your account where any of the above requirements are not met.
6. User Responsibilities
6.1 You shall provide true, accurate, current, and complete information when registering and maintain the accuracy of such information at all times.
6.2 You shall ensure that all API keys provided are read-only and shall not transmit credentials that could authorize withdrawals or transfers.
6.3 You are solely responsible for safeguarding your login credentials, Read-Only API Keys, and any devices used to access the Services.
6.4 You must immediately notify us of any suspected or actual unauthorized access to your account or credentials.
6.5 You are solely responsible for compliance with all applicable laws, regulations, and tax obligations in your jurisdiction.
7. Data and P&L Accuracy Disclaimer
7.1 You acknowledge and agree that all profit-and-loss (P&L) calculations, performance metrics, and other analytics generated by the Services are derived from data obtained through public blockchain records and third-party application programming interfaces (“APIs”) provided by cryptocurrency exchanges and other external data sources.
7.2 You understand that such data may be incomplete, delayed, or contain inaccuracies arising from, without limitation, exchange downtime, API outages, network congestion, data format changes, human or automated reporting errors, or market latency.
7.3 While we make reasonable efforts to process and display this information accurately, we do not warrant the accuracy, completeness, timeliness, or reliability of any data presented through the Services, including but not limited to P&L calculations, asset prices, balances, or transaction histories.
7.4 You expressly acknowledge and agree that you use all P&L and related analytics at your own risk, and that Cryptofolio shall have no liability whatsoever for any loss, damage, cost, or expense, whether direct or indirect, arising from reliance on such data, including but not limited to any trading or investment decisions made based on such information.
8. Subscriptions and Payments
8.1 Certain features of the Services are available only to Users with an active paid subscription.
8.2 All subscription fees are billed in advance, are non-refundable, and will automatically renew unless canceled prior to the renewal date, except where prohibited by applicable law.
8.3 We may amend subscription fees upon at least thirty (30) days' prior notice to you.
8.4 Payment processing is performed by secure third-party providers, and we do not store complete payment card information.
9. Prohibited Conduct
9.1 You shall not:
a) use the Services for any unlawful purpose;
b) interfere with or disrupt the integrity, security, or performance of the Services;
c) attempt to gain unauthorized access to any portion of the Services or related systems;
d) reverse-engineer, decompile, or disassemble any part of the Services; or
e) use any automated means to extract or harvest data without our prior written consent.
10. Intellectual Property
10.1 All intellectual property rights in the Services and Content are and shall remain the exclusive property of Cryptofolio or its licensors.
10.2 You are granted a limited, non-exclusive, revocable, non-transferable license to use the Services solely for personal or internal business purposes in accordance with this Agreement.
10.3 No provision of this Agreement shall be construed as granting you any ownership interest in the Services or Content.
11. Crypto Risk Disclosure
11.1 You acknowledge that:
a) the value of cryptocurrencies is highly volatile and may result in substantial or total loss;
b) digital assets are not legal tender and are not backed by any government;
c) blockchain transactions are irreversible and subject to technical failures;
d) third-party exchanges may suffer insolvency, hacks, or operational failures; and
e) changes in laws or regulations may adversely affect the legality, value, or use of cryptocurrencies.
11.2 You accept full responsibility for understanding and managing these risks before using the Services.
12. Limitation of Liability
12.1 To the fullest extent permitted by law, we disclaim all liability for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.
12.2 Our aggregate liability for any claim, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you for the Services in the twelve (12) months preceding the claim.
12.3 We shall not be liable for any loss or damage caused by reliance upon inaccurate third-party data, market fluctuations, or service interruptions.
13. Indemnification
13.1 You agree to indemnify, defend, and hold harmless Cryptofolio, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:
a) your use or misuse of the Services;
b) your violation of this Agreement; or
c) your violation of applicable laws or regulations.
14. Force Majeure
14.1 We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to:
a) acts of God;
b) natural disasters;
c) labor disputes;
d) internet or telecommunications failures;
e) denial-of-service attacks;
f) market disruptions;
g) regulatory actions;
h) failures of blockchain networks or third-party exchanges.
15. Termination
15.1 We may suspend or terminate your access to the Services, in whole or in part, without prior notice, if we reasonably determine that you have breached any provision of this Agreement.
15.2 Upon termination, all rights and licenses granted to you under this Agreement shall immediately cease.
16. Dispute Resolution
16.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Cryptofolio is incorporated, without regard to conflict-of-law principles.
16.2 The parties shall first attempt to resolve any dispute through good-faith negotiations.
16.3 If unresolved within thirty (30) days, the dispute shall be referred to binding arbitration administered in Hong Kong SAR, except where prohibited by applicable law.
17. Amendments
17.1 We may amend this Agreement at any time by posting the revised version on our website and updating the “Effective Date.”
17.2 Your continued use of the Services following such amendments shall constitute your acceptance of the revised Agreement.
